On July 3, 2023, the Competition Promotion and Consumer Protection Committee of the Republic of Uzbekistan received an appeal from ZOODUZ HOLDING LIMITED to obtain the preliminary consent of the antimonopoly authority for acquisition of 99.99 percent of the share capital of ORIENTSWISS TASHKENT LLC, application was submitted through portal of state services online.
During studying this appeal, the Committee found that between company “ORIENTSWISS TASHKENT” and LLC “ORIENTSWISS TASHKENT” on June 15, 2023, an agreement was concluded, and requirements of part two of Article 17 of current Law of the Republic of Uzbekistan “On Competition” were violated.
Due to the circumstances mentioned above, on July 5, 2023, a special commission of the Committee initiated a case on concluding an agreement on the acquisition of shares without the prior consent of the antimonopoly authority, and on July 18, the Committee issued an order on inadmissibility of a repetition of a violation of law and taking necessary measures to prevent it in the future.
Also, taking into account that said transaction was made between a group of persons and did not affect competitive environment, the antimonopoly authority gave consent to ZOODUZ HOLDING LIMITED to acquire 99.99 percent of the authorized capital of ORIENTSWISS TASHKENT LLC.
On August 4 of this year, ZOODUZ HOLDING LIMITED provided the Committee with information on the execution of the above instruction.
